To the shareholders of Quillan Falls Bancorp, Inc.:
The 2026 annual meeting of shareholders will be held on Thursday, October 22, 2026, at 10:00 a.m. Central Time, in the Community Room at the main office of Quillan Falls Savings Bank, 200 North Mill Street, Quillan Falls, Wisconsin, for these purposes:
- To elect three directors, each for a term ending at the 2029 annual meeting.
- To ratify the appointment of Fenwright & Doyle, LLP as the company’s independent auditor for the year ending December 31, 2026.
- To approve the Quillan Falls Bancorp, Inc. 2026 Equity Incentive Plan.
- To transact any other business properly brought before the meeting.
Shareholders of record at the close of business on August 28, 2026 are entitled to notice of, and to vote at, the meeting. Whether or not you plan to attend, please vote as soon as possible.

Proposal 1: Director nominees
The board has nominated three current directors for terms ending in 2029.
- Walter J. Brekke, director since 2004. Fourth-generation grain and dairy farmer in Marder County. Member, Compensation Committee.
- Anita Varga-Moreno, CPA, director since 2017. Former controller of a regional dairy cooperative. Chair, Audit Committee.
- Samuel Petrakis, director since 2019. Estate-planning attorney in Quillan Falls. Chair, Governance and Nominating Committee.
Proposal 2: Ratification of independent auditor
The Audit Committee has reappointed Fenwright & Doyle, LLP, which has audited the company since 2015. Fees billed for 2025 totaled $223,300: $186,500 for the audit, $22,000 for audit-related services and $14,800 for tax services.
Proposal 3: 2026 Equity Incentive Plan
The plan would allow up to 60,000 shares, about 2.5% of shares outstanding, to be granted as restricted stock or stock options to directors, officers and employees over ten years. It replaces the 2016 plan, which has expired. The Compensation Committee would administer the plan.
